By engaging OmniSyncFlow, you agree to one of our two operational delivery models. If the WaaS/AMC model is selected, OmniSyncFlow retains ownership of the underlying serverless code architecture, while the client retains 100% ownership of their data, leads, and domain. Source code is only relinquished to the client if the specific "Source Ownership Handover" surcharge is paid.
IP Ownership Lock: OmniSyncFlow strictly retains 100% Intellectual Property (IP) ownership of all code, designs, and developed assets until the final 50% payment (Phase 2) is cleared in full. No website or web app will be transferred to a live public domain until all outstanding setup invoices are fully settled.
Standard Annual Maintenance Contracts (AMC) cover server hosting, 99.9% uptime monitoring, and up to three (3) minor revisions per year (e.g., text edits, price updates, or image swaps). Structural redesigns, new page additions, or complex integrations fall outside this scope and will be billed at standard engineering rates.
OmniSyncFlow guarantees a zero-commission policy on your business operations. We do not take a percentage of your sales or bookings. However, you are solely responsible for any standard transaction fees deducted by your chosen third-party payment gateways (e.g., Razorpay, Stripe, PayPal).
Prior to launching the final architecture on your live domain, a secure "Staging Demo" link will be unlocked in your Client Command Center. You are required to review the staging environment. Final deployment occurs only after your written approval. Post-deployment structural changes or architectural shifts requested after staging approval are subject to new engineering invoices.
Payment Delay Penalty: Upon delivery of the final staging link, the client has exactly 5 business days to review and clear the remaining 50% balance. If payment is delayed beyond Day 5 without written mutual agreement, a late fee of 2% per week will be automatically added to the final invoice.
